After 24 years of “big firm” experience, David Schwinger decided to launch the Law Offices of David Schwinger PLLC to serve as general counsel to individuals and corporations in today’s world of specialists.

The Law Offices of David Schwinger PLLC has represented clients in a wide array of corporate transactional matters and has been involved in mergers and acquisitions, private equity investments and joint venture transactions. Representative clients include start-ups, publicly and privately held, and venture capital firms, both in the U.S. and abroad. The companies are mostly in high-tech and real estate related industries, particularly in the energy, biotechnology, and real estate development and real estate services.
In financial transactions, the Law Offices of David Schwinger has represented both lenders and borrowers in numerous credit and credit-enhancement transactions along with various securitization and CDO tranactions. We have experience representing companies as borrowers in the origination and work-out of secured and unsecured commercial financings (e.g., letters of credit; leveraged buy-outs; project finance and real estate finance).

In the Real Estate Finance area, we have represented some of the world’s largest financial institutions, institutional investors and real estate owners in financings involving hotels, office buildings, shopping centers and multi-family residential and other properties. The structure of these financings includes multi-parcel securitizations, credit enhancement and other structured finance facilities, equity-based mezzanine financings, real-estate related credit lines and construction and term loans. On the lender side, our focus is on real estate capital markets transactions, including the representation of investment banks and other institutional lenders in the origination and securitization of first mortgage debt, mezzanine loans, preferred and common equity investments, and other structured finance products.
In the area of ownership and development, we represent some of the nation’s largest real estate firms in some of the country’s most significant projects. This involvement has spanned the period from conception to completion, continuing through the operational phases of the project. In these matters, our lawyers deal with issues as diverse as joint venture structuring, financing, leasing and other management and operational issues. In addition to development transactions, we are involved regularly in the acquisition and disposition of real property.
And in the international arena, we are very active in representing foreign investors in the acquisition and ownership of U.S. properties, including high-end hotels and office buildings.
The Law Offices of David Schwinger PLLC has extensive experience in Federal income tax areas with particular concentration in investment, real estate, partnership and limited liability company taxation matters. Our practice includes the representation of major real estate developers, syndicators, lenders and investors, including both taxable and tax-exempt investors and professional service (including law and accounting) firms.
We work closely with clients to structure transactions and ordinary business operations with a view towards maximizing tax benefits and reducing risks.

Representative transactions include asset-backed bonds, commercial paper vehicles, rated and non-rated securitization transactions (including REMICs), participation arrangements and partnerships.
